Incorporation

Incorporation comes in many shapes and sizes. We’ve incorporated complex corporations, with many shareholders and directors, registered in multiple jurisdictions and have also assisted with simple corporations involving a single shareholder/director. As a general rule, the more complicated the matter becomes, the more costly and time-consuming it tends to be. For most straightforward incorporations, however, the cost tends to hover around $1250-$1350. That fee includes the following:
  1. The cost of a Canada-wide NUANS name search to determine whether the name you wish to use for the corporation is available and able to be reserved
  2. Drafting and finalizing the incorporation documents for filing with the Registrar of Corporations;
  3. The incorporation fee payable to the Registrar of Corporations;
  4. Delivery of original documents to the Corporate Registry and pick-up of the Certificate of Incorporation from the Corporate Registry;
  5. Drafting of all of the corporate organizational documents including directors resolutions, shareholders resolutions, shareholders ledgers, transfer ledgers, directors ledgers, directors consents, share subscriptions, share certificates and assembly of same into a Minute Book for the corporation;
  6. Acting as registered and records office for the corporation for the first year of its existence; and
  7. Providing any and all other advice, information and recommendations as is necessary or desirable to the incorporator(s) for the purposes of either commencing or transitioning their business operations.
